What is SGM?
A Special General Meeting (SGM) is an extraordinary gathering of shareholders or members of a company, convened to discuss and resolve urgent or critical matters that cannot be deferred until the next Annual General Meeting. In India, the provisions related to SGMs are laid down under Sections 100 to 111 of the Companies Act, 2013, which specify the conditions, notice period, and procedures for calling such meetings. Companies typically call an SGM to address significant issues such as amendments to the Articles of Association, removal or appointment of directors, approval of mergers and acquisitions, raising of fresh capital, or even the winding up of the company. The meeting can be requisitioned by the Board of Directors or by shareholders holding at least one-tenth of the paid-up share capital of the company. A clear written notice of at least 21 days must be served to all members before the scheduled date. SGMs play a crucial role in ensuring transparency and timely decision-making in corporate governance across Indian businesses.
