What is COI?
A Certificate of Incorporation (COI) is a legal document issued by the Registrar of Companies (ROC) under the Ministry of Corporate Affairs (MCA) in India. It serves as conclusive proof that a company has been duly registered and has a separate legal identity distinct from its shareholders. The COI confirms that all required incorporation formalities—such as filing the Memorandum and Articles of Association, paying stamp duty, and obtaining Digital Signature Certificates—have been completed. This document is mandatory for any private limited, public limited, or one-person company to commence business operations in India. It is used when opening bank accounts, applying for tax registrations (PAN, TAN, GST), and during audits or legal proceedings.
