Company Law Board
Full Form of CLB
What is CLB?
The Company Law Board (CLB) was a quasi-judicial body in India established under the Companies Act, 1956. Its primary role was to adjudicate matters related to corporate disputes, including oppression and mismanagement, mergers, and investor grievances. The CLB operated under the administrative control of the Ministry of Corporate Affairs and had powers similar to a civil court. It was formed to ensure speedy resolution of corporate conflicts without burdening the regular judiciary. The CLB held hearings in regional benches across major cities like Chennai, Kolkata, Mumbai, and New Delhi. In 2016, the CLB was replaced by the National Company Law Tribunal (NCLT) under the Companies Act, 2013, as part of legal reforms to streamline corporate dispute resolution. However, cases filed before the transition are still governed by CLB procedures. For students preparing for law, CA, or CS exams, understanding the CLB's functions and its evolution into the NCLT is critical for corporate law sections. The CLB was known for its expertise in company matters and played a key role in protecting minority shareholder interests.
